Terms and Conditions of Supply
Animal Orthopaedics Ltd T/A Veterinary Orthopaedics Issue 2 · 23 September 2026
1 · Introduction
1.1 These Terms govern the supply of Goods by Animal Orthopaedics Ltd T/A
Veterinary Orthopaedics (“the Company”) to the Customer, and, where applicable,
the Customer’s use of the Company’s website.
1.2 These Terms, together with the Company’s Privacy and Cookies Policy and
Returns Policy, constitute the entire agreement between the parties and supersede
all previous agreements relating to the supply of Goods and website use.
1.3 The Company may amend these Terms from time to time. The version in force at
the date of the Customer’s order applies to that Contract. Where changes are
required to comply with law or regulatory requirements, the Company will provide
reasonable advance notice and explain the Customer’s right to cancel if the
Customer does not accept the revised Terms.
1.4 If the Customer cancels under clause 1.3, the Customer may cancel the Contract
in whole or in respect of Goods not yet received. Goods already received must be
returned at the Company’s cost, and the Company will provide a full refund including
delivery charges.

3 · Basis of Contract
3.1 These Terms apply to the exclusion of any other terms the Customer seeks to
impose or incorporate, or which are implied by trade, custom, practice or course of
dealing.
3.2 Goods are supplied on the basis that the Customer is solely responsible for
determining their suitability for the intended purpose.
3.3 Where the Customer is a Consumer, nothing in these Terms affects statutory
rights. Clauses 9, 13 and 14 apply only to the extent permitted by law.
4 · Orders and Acceptance
4.1 The Customer’s order constitutes an offer to purchase Goods in accordance with
these Terms.
4.2 For website orders, the Company will acknowledge receipt by email. The
Contract is formed only when the Company issues an Order Confirmation confirming
dispatch.
4.3 If the Company cannot supply the Goods—due to lack of stock, discontinuation,
inability to meet the requested delivery date, or pricing error—the Company will
notify the Customer and will not process the order. Any sums paid will be refunded
promptly, including delivery charges.
4.4 The Customer must comply with all applicable export control and embargo
restrictions published by the UK Government.
5 · Price
5.1 Goods will be invoiced at the price prevailing on the date of dispatch.
5.2 Prices may be amended without prior notice.
5.3 Prices are exclusive of VAT, which the Customer must pay in addition.

imposed by the Customer’s jurisdiction.
6 · Payment
6.1 Payment is due strictly 30 days from the date of invoice unless otherwise agreed
in Writing.
6.2 All payments must be made in sterling (£), in full, without setoff or deduction
except where required by law.
6.3 Cheques are deemed paid only when cleared into the Company’s bank account.
6.4 If payment is not made by the due date, the Company may: (a) suspend further
deliveries; (b) allocate any payment received to outstanding invoices as it sees fit; (c)
charge interest at 2.5% per month until payment is made in full, with notice of
interest served in Writing.
6.5 The Company may set off any sums owed by the Customer against sums
payable by the Company to the Customer.
7 · Breakages, Shortages and Returns
7.1 Any obvious shortages or suspected damage must be recorded on the delivery
note at the time of delivery.
7.2 Claims for missing or damaged Goods must be reported within five working days
of delivery.
7.3 Where independent transport is used, failure to sign for or note damage may
prevent the Company from pursuing a claim, and the Customer may be liable for
resulting loss.
7.4 Returns are accepted only with prior written consent.
7.5 Consumers may cancel the Contract within 14 days of receiving the Goods.
Goods must be returned, and the Company will refund the price paid including basic
delivery costs.
7.6 Where the Customer cancels under clause 1.4, the Company will bear the cost of
return.

8.1 Delivery dates are estimates only.
8.2 The Company is not liable for any loss, injury, damage or expense arising from

9 · Title and Risk
9.1 Title to the Goods passes only when the Company receives full payment.
9.2 Risk passes on receipt and acceptance of the Goods by the Customer.

identifiable, and not dispose of them other than in the ordinary course of business.
The Company may recover Goods and enter premises on reasonable notice to do
so.

or availability of services and may alter or discontinue services at any time without
compensation.
16 · Force Majeure
16.1 The Company is not liable for delay or failure caused by events beyond its
reasonable control.
16.2 If such delay continues for a substantial period, either party may terminate the
Contract by written notice.
